Contingent provides a litigation exposure forecasting platform designed for finance teams. The Service includes matter tracking, probability assessment, exposure calculation, and reporting features. The specific features available to you depend on your subscription tier.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account password and for any activities or actions under your account.

You must notify us immediately of any unauthorised access to or use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Subscriptions and Payment

Some aspects of the Service are provided on a subscription basis. You will be billed in advance on a recurring basis ("Billing Cycle"). Billing cycles are set on an annual basis unless otherwise agreed.

You agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

5. Free Pilot Program

We may offer a free pilot program to qualified companies. Eligibility for the pilot program is determined at our sole discretion. The pilot program is time-limited and may be discontinued at any time.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Contingent and its licensors. The Service is protected by copyright, trademark, and other laws.

You retain all rights to the data you input into the Service. By using the Service, you grant us a limited licence to process and store your data solely for the purpose of providing the Service to you.

7. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Not use the Service in any way that could damage, disable, or impair the Service
  • Not attempt to gain unauthorised access to any part of the Service
  • Not use the Service to transmit any viruses or malicious code
  • Ensure that data entered into the Service is accurate and does not infringe any third party rights

8. Confidentiality

To the maximum extent permitted by law, Contingent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Contingent and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may request export of your data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

15. Severability

These Terms constitute the entire agreement between you and Contingent regarding the Service and supersede any prior agreements.
